End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you (referred to as "User" or "You") and Sunday Shred, a DBA of Loud Digital Industries, LLC, a Tennessee company (referred to as "Company" or "We" or "Us"). This Agreement governs your use of any software, presets, profiles, or related products ("Product") provided by Sunday Shred.

By using the Product, you agree to be bound by the terms and conditions of this Agreement. If you do not agree with these terms, you should not use the Product.

1. License Grant:

   a. Subject to the terms and conditions of this Agreement, Company grants you a limited, non-exclusive, non-transferable license to use the Product for your personal or internal business purposes.

   b. You may install and use the Product on multiple devices that you own or control, provided that you are the only individual using the Product on each device.

   c. This license is granted to you and does not include the right to sublicense, sell, assign,gift  or distribute the Product in any way.

2. Intellectual Property:

   a. The Product, including but not limited to software, presets, profiles, and any accompanying documentation, is the intellectual property of Company or its licensors and is protected by copyright laws and international treaties. 

   b. You acknowledge and agree that you have no ownership rights or claims to the Product, except for the limited license granted in this Agreement.

3. Restrictions:

   a. You shall not copy, modify, reverse engineer, decompile, disassemble, or create derivative works of the Product, except to the extent permitted by applicable law.

   b. You shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices on or within the Product.

4. No Sharing or Reselling:

   a. You shall not share, distribute, or resell the Product or any part thereof, whether for commercial or non-commercial purposes, without prior written consent from Company.

   b. The license granted to you is for your personal use only and does not authorize you to distribute or resell the Product.

6. Governing Law and Dispute Resolution:

   a. This Agreement shall be governed by and construed in accordance with the laws of the state of Tennessee, United States.

   b. Any legal dispute arising out of or in connection with this Agreement shall be resolved through binding arbitration by a neutral adjudicator, and the decision of the adjudicator shall be final and binding.

7. Limitation of Liability:

   a. To the maximum extent permitted by applicable law, in no event shall Company be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of the Product, even if Company has been advised of the possibility of such damages.

   b. In no event shall Company's total liability exceed the amount paid by you for the Product.

8. Indemnification:

   You agree to indemnify, defend, and hold harmless Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Product or any violation of this Agreement.

9. Severability:

  If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, or enforceability of the remaining provisions shall not in any way be affected or impaired.

10. Entire Agreement:

    This Agreement constitutes the entire agreement between you and Company concerning the subject matter herein and supersedes all prior or contemporaneous agreements, understandings, or representations.

11. The customer acknowledges and agrees that by using the Product provided by Sunday Shred, they are also subject to and bound by all the terms and conditions found at the website https://www.alterampworks.com. The customer understands that these additional terms govern their use of any products or services provided by Alter Amp Works, and they agree to comply with all such terms and conditions.

By using the Product, you acknowledge that you have read and understood this Agreement, and agree to be bound by its terms and conditions.
